中化建国际招标有限责任公司（以下称为“招标代理机构”），中国海洋石油集团有限公司的全资子公司，受中海壳牌石油化工有限公司（以下称为“招标人”）委托，就中海壳牌惠州三期乙烯项目所需部分货物及相关服务进行国际公开招标。现邀请投标人对下列货物和服务提交电子密封投标：

CNCCC International Tendering Co., Ltd., a wholly-owned subsidiary of China National Offshore Oil Corporation (CNOOC),(hereinafter referred to as “theProcurement Agency”), entrusted byCNOOC and Shell Petrochemicals Company Limited(hereinafter referred to as “Procuring Entity(Company/Purchaser)”), intends toorganize an International Competitive Bidding for thepurchaseofthe Goods and the relevant services required under the project of CSPC Huizhou Phase 3 Ethylene. Bidders are kindly requested tosubmit their electronically sealed bids forthe following Goods andServices.

1.招标条件Preconditions for Solicitation

项目概况：中海壳牌石油化工有限公司（以下简称“中海壳牌”）拟在广东惠州大亚湾石化产业园区新建中海壳牌惠州三期乙烯项目，以实现其打造世界级、高度一体化的石化基地的愿景。

Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase 3 Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

2.招标内容Subject Matter of Procurement

货物名称：火炬气回收热值及氧分析仪系统

Name of Goods:Torch Gas Recovery Calorific Value and Oxygen Analyzer System

数量：1套热值分析仪（残氧燃烧法），1套顺磁氧分析仪，含1套分析小屋及配套的预处理系统、分析系统等

Quantity:1set of calorific value analyzer (residual oxygen combustion method),1set of paramagnetic oxygen analyzer, including1set of analysis cabin and thesupporting pretreatment system, analysis system, etc.

主要技术规格：性能应满足下列要求：

1）顺磁氧分析仪：线性误差：≤1%FS；重复性：≤1%FS；响应时间：T90小于10S；零点漂移：不大于0.5%/月；量程漂移：不大于0.5%/月。量程：0～5%。

2）热值分析仪精度：≤1%FS；测量原理采用残氧燃烧法。量程：0～200000 kJ/Nm3

3.对投标人的资格和业绩要求

Requirements for Qualificationsandthe Past PerformanceoftheBidder:

（1）资格要求Requirements for Qualifications of the Bidder★

A.如果投标人为中国境内注册公司，投标人需具有合法有效的企业法人营业执照、税务登记证及组织机构代码证或证照合一的营业执照，投标时需提供原件扫描件（原件备查）；

If theBidder is a company registered within the territory of China, it shall possess a legally validBusinessLicense ofanenterprise legal person,TaxRegistrationCertificate, andOrganizationalCodeCertificate, or a unified business license combining these certificates. When submitting the bid, theBidder shall provide a scanned copy of the original document (withtheoriginals kept available for verification).

如果投标人为中国境外注册公司，需提供有效的公司登记注册证明；

If theBidder is a company registered outside the territory of China, it shall provide a valid certificate of company registration.

投标人为分公司的，需具有合法有效的营业执照（境内注册）/公司登记注册证明（境外注册）和上级法人单位授权书（授权该分公司投标和签订合同），投标时需提供原件扫描件（原件备查）。

If theBidder is a branch company, it shall possess a legally valid business license (for those registered within China) / certificate of company registration (for those registered outside China) and an authorization letter from the superior legal entity (authorizing the branch to bid and sign contracts). When submitting the bid, the branch shall provide scanned copies of the original documents (withtheoriginals kept available for verification).

招标人认可该分公司和上级法人单位的资质、资格和业绩，不认可同一上级法人单位的其它分公司的资质、资格和业绩。分公司与上级法人单位只可一家参与投标，同时参与投标的，投标均无效。

The qualifications, eligibility and performance of the branch and its superior legal entity shall be recognizedby the Procuring Entity(Company/Purchaser), while the qualifications, eligibility and performance of other branches under the same superior legal entity shall not be recognized. only one of the branch and its superior legal entity may participate in the bid; if both participate in the bid, all their bids shall beregarded asinvalidbids.

投标人应为所投产品（火炬气回收热值和氧分析仪系统）的制造商。集成商视为制造商。如投标人为制造商同一集团负责销售投标所投产品的全资子公司、控股子公司（投标人应提供制造商或其上级公司证明上述事项的证明文件），则视投标人为制造商。

Bid by Agent is not bidder shall be the manufacturer of theproducts (Torch Gas Recovery Calorific ValueandOxygen Analyzer System),the integrator considers the manufacturer. If the bidder is a wholly-owned or holding subsidiary of the same group as the manufacturer responsible for the sales of the products being tendered (the bidder shall provide a certificate from the manufacturer or its superior company to prove the above matters), the bidder shall be regarded as the manufacturer.

E.其它:如投标人为制造商同一集团负责销售投标所投产品的全资子公司、控股子公司（投标人应提供制造商或其上级公司证明上述事项的证明文件），则视投标人为制造商。？投标产品由制造商不同工厂生产且使用相同品牌时，予以接受。

others: If the bidder is a wholly-owned subsidiary or holdingsubsidiary of the same group as the manufacturer responsible for sales ofthe bidding products, the bidder shall provide relevant evidence documents fromthe manufacturer or its superior company to prove the above matters, and in such case the bidder shall be deemed as the manufacturer. The bidding product produced by different factories of the manufacturer with the same brand shall be accepted.

同一集团全球范围内不同制造商（即同一集团旗下的全资子公司或控股子公司或制造工厂）制造的所投产品的业绩，视为投标人所投产品的制造商的业绩；投标人应提供说明函，说明本次所投产品的制造商与满足上述业绩要求的产品制造商属于同一集团。

The performance of the products submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the products submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the products submitted in this bid and the manufacturer of the products meeting the above performance requirements belong to the same group.

（2）资质要求Qualification requirement：

所投分析仪本体在有效期内的防爆合格证书，证书中应体现一区防爆、防爆等级不低于IIC T4，防爆合格证书应由NEPSI、CQST、PCEC、IECEx、ATEX之一或国家认可的其他防爆检验机构出具。

The explosion-proof certificate of the analyzer body is valid within the validity period. The certificate should reflect that the explosion-proof level of the first zone is not lower than IIC T4. The explosion-proof certificate should be issued by one of NEPSI, CQST, PCEC, IECEx, ATEX or other nationally recognized explosion-proof inspection agencies.

（3）业绩要求Requirement for Bidder'sPast Performance:

2016年1月1日至投标截止日(以合同签署时间为准)，投标文件应同时满足以下业绩要求（可接受以下两项要求同时体现在一个合同）：

From January 1st, 2016 to the deadline for submission of the bid (subject to the signing time of the contract), the tender documents should simultaneously meet the following performance requirements(it is acceptable for both of the following two requirements to be reflected in one contract)：

①投标人至少具有1个分析仪表系统集成的合同业绩。

①The bidder shall have at least one contract performance record of integrating an analytical instrument system.

②投标的热值分析仪制造商至少有1个测量原理为残氧燃烧法的合同业绩。②The heat value analyzer manufacturer bidding must have at least one contract performance using the residual oxygen combustion method as the measurement principle.

投标人须按规定格式提交业绩表，并提交相关业绩证明文件。业绩证明文件包括：销售合同复印件。

The bidder shall submit thePerformanceForm in the specified format and providetherelevant performance certification documents. The performance certification documents include:Copies of sales contract.

投标人所提交的业绩证明文件必须至少体现以下内容：合同签署时间、合同签署页（国内贸易合同应有双方盖章，国际贸易合同应有双方签字或盖章）、货物名称、热值分析仪原理。

The performance certification documents submitted by the bidder must include at least the following contents: the contract signing date; the contract signature page (Chinadomestic trade contracts shall bestampedbythe buyer and the seller, while international trade contracts shall be signed orstampedbythe buyer and the seller); name of goods,Principle of calorific value analyzer.

若业绩合同为年度协议，除提供年度协议外，还应提供相应的已到货订单，订单内容或编号应与年度协议相关联。同一个年度协议下，提供1个或以上的订单，均视为1个有效业绩。

If the contract is an annualframeworkagreement, in addition to theagreementitself, the correspondingPurchaseOrder(s) (PO)(under which the goods weredelivered)shall also be provided, and thepurchaseorder content orPOnumberingshall be associated with the annualframeworkagreement. Underthesame annualframeworkagreement, one or morepurchaseorders corresponding to the orders shall be deemed as one valid performance.

未提交业绩证明文件，或通过所提供的业绩证明文件无法认定满足上述业绩要求的，均被视为无效业绩。

Failure to submitthe pastperformance certification documents, or inability to verify that the above performance requirements are met through the performance certification documentssoprovided, shall be deemed as invalid performance.
